Rural Life Development (RLD), is a registered tax-exempt, non-profit organization registered in the state of North Carolina.

ARTICLES OF INCORPORATION

OF

RURAL LIFE DEVELOPMENT, INC.

The undersigned natural person of the age of eighteen years or more, acting as incorporator creating a non-profit corporation under and by virtue of the laws of the state of North Carolina, entitled "non-profit corporation", and the several amendments thereto, do hereby set forth.

1.The name of the corporation shall be Rural Life Development, Inc.

2.The place in this state where the principal office of the corporation is to be located is, 4900 Bennington Drive, in the city of Greensboro, NC, Guilford County.

3.The period of duration of the corporation is perpetual.

4.Said corporation is organized exclusively for charitable, religious and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c)(3) of the Internal Revenue Code of the 1986 or the corresponding provision of any future United States Revenue Law. In furtherance of such purposes the corporation shall:

        (a.) Provide educational, social, medical and agricultural programs for improvement of quality life in rural communities in Africa.

        (b) Engage in any lawful act or activity for which corporations may be recognized under the non-profit act of he state of North Carolina.

5.No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons except that the corporation shall be authorized and entitled to pay reasonable compensation for services rendered and to make payments and contributions for the furtherance of the purposes set fourth in Article IV hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or any other act attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of any statement referencing any political campaign on behalf of or in opposition to any candidate for public office. Not withstanding any other provision of these Articles, he corporation shall not carry on any other activities not permitted to be carried on (a) be a corporation exempt from federal income tax under Section 501 (c) (3) of the Internal Revenue Code, or correspondence section of any future federal tax code.

6.Upom the dissolution of the corporation, the Board of Directors shall, after paying or making provisions for the payment of all liabilities for the corporation, dispose of all the assets of the corporation exclusively for the purposes of the corporation in such a manner, or to such organization of organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time, qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1986 or corresponding provision of any futures United States Internal Revenue Law, as the board of directors shall determine. Any of such assets not disposed of by the Superior Court of Justice by the County in which it located, exclusively for such purposes or organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.

7. The directors of the corporation shall be elected or appointed in the matter and for the terms provided in the By-Laws. The corporation shall not have members.

8. The address of the initial registered office of the corporation in the State of North Carolina, County of Guilford is 4900 Bennington Drive, Greensboro, North Carolina 27410, and the name registered agent at such address is Dr. Celestine A. Ntuen.

9. The number of directors constituting the initial Board of Directors shall be 1: and the name(s) and address(es) of the person(s) who are to serve as the initial directors are:
